Media License Agreement (Commercial Media)

This Media License Agreement ("Agreement") is made between Ceon Media ("Licensor") and the purchasing customer ("Licensee"). By purchasing and downloading the customized digital video ("Licensed Media"), Licensee agrees to the following terms:

1. GRANT OF RIGHTS

Licensor grants Licensee a perpetual, worldwide, non-exclusive, transferable license to use, modify, distribute, reproduce, publicly display, and create derivative works of the Licensed Media for any commercial or non-commercial purpose without restriction.

2. OWNERSHIP

All intellectual property rights in the Licensed Media remain with Licensor, except for the rights explicitly granted to Licensee under this Agreement.

3. DISCLAIMER OF WARRANTIES

The Licensed Media is provided "as is" without any warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, or non-infringement. Licensor makes no guarantees regarding the Licensed Media’s suitability for any specific use.

4. LIMITATION OF LIABILITY

Licensee assumes full responsibility for the use, distribution, and any consequences arising from the Licensed Media. Licensor shall not be liable for any claims, damages, losses, or liabilities, including but not limited to direct, indirect, incidental, special, or consequential damages arising from Licensee’s use of the Licensed Media. Additionally, Licensee acknowledges and agrees that they are solely responsible for ensuring that the generated Licensed Media complies with all applicable laws and regulations. Licensor shall not be held liable for any illegal, infringing, or otherwise unlawful content generated by Licensee.

5. INDEMNIFICATION

Licensee agrees to indemnify, defend, and hold harmless Licensor, its affiliates, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from or related to Licensee’s use, modification, or distribution of the Licensed Media, including but not limited to any claims arising from the illegality or unlawfulness of the generated content.

6. COMPLIANCE WITH LAWS

Licensee is solely responsible for ensuring that their use of the Licensed Media complies with all applicable laws, regulations, and third-party rights. Licensor shall not be liable for any legal issues resulting from Licensee’s use of the Licensed Media.

7. TERMINATION

This Agreement shall remain in effect indefinitely unless breached by Licensee, in which case the license granted herein shall be revoked immediately without refund, and Licensee must cease all use of the Licensed Media.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.

By purchasing and downloading the Licensed Media, Licensee acknowledges that they have read, understood, and agreed to the terms of this Agreement.
